Terms of Service
Texpedite web platform and related online services
These Terms of Service are provided for informational purposes and do not constitute legal advice. Have a qualified attorney review them for your business before relying on them.
1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you ("you," "User") and Texpedite, LLC ("Texpedite, LLC," "we," "us," "our") governing your access to and use of the Texpedite website, web application, APIs, and related online services (collectively, the "Service").
By creating an account, clicking "I agree," or using the Service, you agree to these Terms and to our Privacy Policy at https://texpedite-920e27b9c480.herokuapp.com/privacy. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. The Service
Texpedite provides cloud-based tools to upload audio and related files, obtain machine-generated transcripts (including speaker diarization and export formats such as text and WebVTT), manage account credits, and use related features we may add or change over time.
The Service may integrate with third-party speech-to-text and payment providers. We do not guarantee uninterrupted availability, specific turnaround times, or suitability for any particular legal, medical, or regulatory purpose.
3. Accounts and security
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account.
We may suspend or terminate accounts that violate these Terms, pose security risks, or remain unpaid where applicable.
Account groups and group administrators, where offered, may share billing and usage according to settings configured in the Service. Group admins are responsible for users they add.
4. Credits, pricing, and payments
Most features are billed using prepaid account credits or per-job charges displayed before you confirm a transaction. Prices may vary by user, group, or administrator configuration.
Purchases processed through Stripe or other payment processors are subject to their terms as well. You authorize us and our processors to charge your selected payment method for amounts you approve.
Credits and promotional balances may expire or change as described at signup or in the Service. Except where required by law, fees are non-refundable once a transcription job has been submitted or completed.
You are responsible for applicable taxes. We may change pricing with notice through the Service or by email; continued use after the effective date constitutes acceptance.
5. Acceptable use
We may investigate violations and cooperate with law enforcement. You are solely responsible for how you use transcripts produced by the Service.
- Upload only content you have the right to process and that complies with applicable law.
- Do not use the Service to harass others, distribute malware, infringe intellectual property, or violate privacy or wiretapping laws.
- Do not attempt to probe, scrape, or reverse engineer the Service except as permitted by law.
- Do not resell or sublicense the Service without our written agreement.
- Do not submit content containing cardholder data or other regulated data unless you have implemented appropriate compliance measures and our written approval.
6. Your content
You retain ownership of audio, transcripts, and other materials you submit ("User Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, display, and back up User Content solely to operate, improve, and secure the Service and as described in our Privacy Policy.
You represent that you have all rights necessary to submit User Content and that our processing will not violate third-party rights.
7. Storage and transcript retention
To manage storage costs, we remove transcript text and related timing data from our servers after approximately 45 days from job creation (or another period shown in admin settings), while retaining billing and usage metadata such as date, filename, cost, and page counts.
Before removal, we may email you and display in-app warnings so you can download copies locally. You are responsible for exporting anything you need to keep.
Archived jobs may remain visible in your history without downloadable text.
8. Proofreading required — not certified verbatim transcripts
All output from the Service is a machine-assisted draft only. It is not a certified transcript, stenographic record, or verbatim record of proceedings unless and until a qualified person has independently proofread and corrected it.
YOU MUST PROOFREAD EVERY TRANSCRIPT IN FULL before you use, distribute, file, quote from, bill against, or present it as a final, official, or verbatim transcript. Do not represent unproofread output as final or verbatim.
Texpedite, LLC does not proofread your transcripts, does not guarantee accuracy, and is not a court reporting agency. The Service does not provide legal, court reporting, medical, or other professional advice.
By using the Service, you agree that you—not Texpedite, LLC—are solely responsible for the accuracy and suitability of any transcript you deliver to clients, courts, or third parties.
- Proofread for wrong words, missing words, and words spoken but not captured.
- Verify speaker labels and attributions; automated diarization can be wrong.
- Correct punctuation, paragraphing, and formatting to your professional standards.
- Verify all proper names, places, technical terms, acronyms, and numbers.
- Do not rely on unproofread output in depositions, hearings, trials, arbitrations, filings, or any proceeding where accuracy is required.
9. Proper names, spelling, and word errors
Automated speech recognition frequently misspells or mishears proper names (people, companies, products, streets, case names), foreign words, acronyms, homophones, and domain-specific vocabulary. It may also insert incorrect words, omit words, or substitute similar-sounding words.
To the maximum extent permitted by law, Texpedite, LLC is not liable for any error in spelling, capitalization, or transcription of proper names or any other word, phrase, or number in output from the Service, whether or not you proofread the transcript.
You are responsible for researching correct spellings (for example from exhibits, pleadings, witness lists, or direct inquiry) and correcting the transcript before any official or client use.
10. No warranty of accuracy
Transcripts may contain errors, omissions, duplicated text, or misattributed speakers. Turnaround time, speaker count, and formatting features do not imply human review or certification.
If you fail to proofread, any harm arising from inaccurate or non-verbatim text is your responsibility, not ours, subject to the limitations in these Terms.
11. Our intellectual property
The Service, including software, design, logos, and documentation, is owned by Texpedite, LLC or its licensors and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or brand except limited use necessary to use the Service.
Desktop applications such as Texpedite-Edit and Texpedite Record are licensed under separate End User License Agreements (EULAs), not these Terms alone.
12. Third-party services
The Service relies on third parties (for example, payment, email, hosting, and speech-to-text providers). Their services are subject to their own terms and privacy practices. We are not responsible for third-party acts or outages beyond our reasonable control.
13. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for breach, risk, non-payment, or discontinuation of the Service.
Upon termination, your right to use the Service ends. Provisions that by nature should survive (including payment obligations, disclaimers, limitations of liability, and dispute terms) will survive.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT TRANSCRIPTS ARE ACCURATE, COMPLETE, VERBATIM, OR FIT FOR ANY PROFESSIONAL OR LEGAL PURPOSE.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXPEDITE, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE.
WITHOUT LIMITING THE FOREGOING, WE ARE NOT LIABLE FOR CLAIMS ARISING FROM OR RELATED TO: (A) INACCURATE, INCOMPLETE, OR NON-VERBATIM TRANSCRIPTS; (B) MISSPELLED OR INCORRECT PROPER NAMES OR OTHER WORDS; (C) YOUR FAILURE TO PROOFREAD; (D) YOUR PRESENTATION OF UNPROOFREAD OUTPUT AS FINAL OR VERBATIM; OR (E) YOUR USE OF TRANSCRIPTS IN ANY LEGAL, QUASI-LEGAL, OR PROFESSIONAL PROCEEDING.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
16. Indemnification
You will defend, indemnify, and hold harmless Texpedite, LLC and its affiliates from claims, damages, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, your failure to proofread transcripts, your presentation of unproofread output as final or verbatim, or your violation of these Terms or applicable law.
17. Governing law and disputes
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules, except where mandatory consumer protection laws of your residence apply.
Except for claims that may be brought in small claims court, disputes will be resolved in the state or federal courts located in Forsyth County, North Carolina, and you consent to personal jurisdiction there.
18. Changes to these Terms
We may update these Terms by posting a revised version and updating the "Last updated" date. Material changes may also be notified by email or in the Service. Continued use after the effective date constitutes acceptance.
