End User License Agreement

Texpedite-Edit, Texpedite Record, Texpedite Convert, and related desktop software

This End User License Agreement is provided for informational purposes and does not constitute legal advice. Have a qualified attorney review it before distribution.

1. Agreement

This End User License Agreement ("EULA") is between Texpedite, LLC ("Licensor," "we," "us") and you ("Licensee," "you") for the desktop software applications we make available under the Texpedite brand, including without limitation Texpedite-Edit, Texpedite Record, and Texpedite Convert (each, the "Software" and collectively, the "Software").

By installing, copying, or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.

Use of our online transcription platform is also governed by our Terms of Service at https://texpedite-920e27b9c480.herokuapp.com/terms.

2. License grant

Subject to this EULA and payment of applicable fees (where required), we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, solely for your internal business or personal use.

Texpedite Record and certain features may require a valid license key and periodic online verification as described at purchase or in the Software.

3. Restrictions

  • Do not copy, modify, or create derivative works of the Software except as permitted by law.
  • Do not reverse engineer, decompile, or disassemble the Software except as permitted by law.
  • Do not rent, lease, sell, sublicense, or distribute the Software.
  • Do not remove proprietary notices.
  • Do not use the Software in violation of law or third-party rights.

4. Proofreading required — not certified verbatim output

The Software may display, edit, or sync machine-generated transcripts. Such output is a draft only and is not a certified or verbatim transcript unless you have fully proofread and corrected it.

YOU MUST PROOFREAD EVERY TRANSCRIPT IN FULL before you use, distribute, file, or present it as a final, official, or verbatim transcript. Do not represent unproofread output as final or verbatim.

Texpedite, LLC does not proofread your work product and is not a court reporting agency.

  • Verify all words, speaker labels, punctuation, and formatting.
  • Correct proper names, places, technical terms, and numbers.
  • Do not rely on unproofread output in any legal or quasi-legal proceeding.

5. Proper names, spelling, and word errors

Automated transcription often misspells proper names and produces incorrect or substituted words. To the maximum extent permitted by law, we are not liable for spelling of proper names, incorrect words, omissions, or any other transcription error in output viewed or edited in the Software.

You are solely responsible for proofreading and for all transcripts you deliver to others.

6. Updates and support

We may provide updates, patches, or new versions. Some updates may be required for continued use (for example, license verification). We are not obligated to provide support beyond what we choose to offer.

7. Termination

This license ends if you breach this EULA or if we discontinue the Software. Upon termination, you must stop using and uninstall the Software.

Sections that by nature should survive (including disclaimers, limitations of liability, and indemnity) will survive.

8. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTY OF ACCURATE OR VERBATIM TRANSCRIPTION.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXPEDITE, LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE SOFTWARE.

WE ARE NOT LIABLE FOR INACCURATE TRANSCRIPTS, MISSPELLED OR INCORRECT PROPER NAMES, INCORRECT WORDS, YOUR FAILURE TO PROOFREAD, OR YOUR USE OF OUTPUT IN ANY PROCEEDING.

OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

10. Indemnification

You will indemnify Texpedite, LLC from claims arising from your use of the Software, your transcripts, your failure to proofread, or your presentation of unproofread output as final or verbatim.

11. Governing law

This EULA is governed by the laws of the State of North Carolina. Disputes will be brought in the courts of Forsyth County, North Carolina, except where prohibited.
